Terms of Service

These Terms of Service ("Terms") govern your access to and use of the KnoxGuard platform provided by KnoxGuard Limited ("KnoxGuard"). By creating an account or using the Service you agree to these Terms.
1. Service
KnoxGuard provides a cybersecurity and compliance platform for UK health and social care organisations, including DSPT, CQC, DCB and UK GDPR workflows. The Service is offered on a subscription basis under the plan selected in your order.
2. Accounts
You are responsible for keeping your credentials confidential and for all activity under your account. You must notify us immediately of any unauthorised access.
3. Acceptable use
- No unlawful, infringing or harmful content.
- No reverse engineering, scraping or interference with the Service.
- No upload of identifiable patient records unless required by your compliance workflow and lawful.
4. Fees
Fees are as set out in your order and are billed monthly or annually in advance. All fees are exclusive of VAT. A 30-day free trial applies to new accounts unless stated otherwise.
5. Data protection
Our processing of personal data on your behalf is governed by the Data Processing Addendum, which forms part of these Terms.
6. Intellectual property
KnoxGuard retains all rights in the Service and its underlying software. You retain all rights in the content you upload.
7. Confidentiality
Each party will protect the other's confidential information with the same degree of care it uses for its own, and no less than a reasonable standard.
8. Warranties & disclaimers
We warrant the Service will materially conform to its documentation. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties to the fullest extent permitted by law.
9. Limitation of liability
Neither party is liable for indirect or consequential losses. Each party's aggregate liability is capped at fees paid or payable in the 12 months preceding the claim. Nothing limits liability that cannot lawfully be limited.
10. Term & termination
Either party may terminate for material breach not cured within 30 days. On termination we will make your data available for export for 30 days, after which we will delete it.
11. Governing law
These Terms are governed by the laws of England & Wales and subject to the exclusive jurisdiction of the courts of England & Wales.
